Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Pielyt (“Pielyt,” “we,” “us,” or “our”), including our website, dashboard, and related services (collectively, the “Service”). By creating an account or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization, and “you” refers to both you and the organization.

1. Description of Service

Pielyt lets a WordPress site owner connect an AI assistant — such as Claude, ChatGPT, or a self-hosted or local model — to their site. The connected assistant can propose changes to the site, which are shown to you for review before they take effect. No proposed change is applied to your site without your explicit approval through the Service. Pielyt logs proposed changes and approval decisions to give you a record of what changed and why, and to allow changes to be reversed.

2. Accounts and Eligibility

You must create an account to use the Service. You must be at least 18 years old, or the age of legal majority in your jurisdiction, and have the authority to manage the WordPress site(s) you connect. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at legal@pielyt.com if you suspect unauthorized use of your account.

3. Subscriptions and Billing

Pielyt is offered on a free plan and on self-serve subscription plans (Starter, Team, and Business), billed monthly or annually at your election, plus a separately negotiated Enterprise tier for larger organizations.

• Auto-renewal. Subscriptions renew automatically at the end of each billing period (monthly or annual, matching your selected plan) until canceled. You authorize us and our payment processor, Stripe, to charge your payment method for each renewal.
• Cancellation. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; we do not provide refunds for partial periods except where required by law.
• Per-seat billing. Each plan includes a number of users, stated on our pricing page. On every plan, users beyond the number your plan includes are billed on a per-seat basis at the rate posted on our pricing page at the time the additional seat is added.
• Enterprise. Enterprise pricing, terms, and seat limits are negotiated separately and are governed by a signed order form or enterprise agreement, which takes precedence over these Terms where the two conflict.
• Price changes. We may change subscription pricing prospectively. We will provide notice before a price change takes effect on your account.

4. Acceptable Use

The Service exists to let you review and approve AI-proposed changes to your own WordPress site before they go live, with a durable log of what was proposed and approved. You agree not to:

• Use the Service to connect to, modify, or propose changes to a website you do not own or are not authorized to administer;
• Use the Service to introduce malware, backdoors, or other malicious modifications to a site, whether or not those changes are ultimately approved;
• Attempt to circumvent, disable, or bypass the approval workflow, policy controls, or audit logging that govern how proposed changes are reviewed and applied;
• Use the Service to violate any applicable law, or the intellectual property, privacy, or other rights of any third party; or
• Interfere with or disrupt the integrity or performance of the Service, including through unauthorized automated access.

We may suspend or terminate accounts that violate this section.

5. Your Responsibility for Approved Changes

The Service is designed so that no change proposed by a connected AI assistant is applied to your site without your review and explicit approval. We show you the proposed change and log your approval decision. Because you control whether a proposed change is applied, you are responsible for the changes you approve, including their effect on your site, its content, and its functionality. Pielyt is a workbench that surfaces proposals and records decisions; it does not review proposed changes for correctness, legality, or fitness for your specific site, and approving a change is your decision, not ours. We recommend reviewing each proposed change carefully before approving it, particularly changes to security-sensitive files or configuration.

6. Service Availability; No Warranty

We aim to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service may be unavailable from time to time for maintenance, updates, or reasons outside our control.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PIELYT AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING CHANGES YOU APPROVE THROUGH THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

8. Termination

You may terminate your account at any time by canceling your subscription and, if you wish, requesting account deletion. We may suspend or terminate your access to the Service if you violate these Terms, fail to pay applicable fees, or if we reasonably believe termination is necessary to protect the Service or other users.

Upon termination, your ability to connect to or propose changes through the Service ends, and we will disconnect any linked sites. We retain audit and billing records for the period described in our Privacy Policy, even after termination, to preserve the integrity of the change history and to meet legal and financial obligations. Other account and site connection data will be deleted or anonymized within a reasonable period following termination, subject to those same retention needs.

9. Intellectual Property

We retain all right, title, and interest in the Service, including its software, design, and trademarks. You retain all right, title, and interest in your website content and data. You grant us a limited license to access, process, and display your site content and connection data solely to provide the Service to you. Nothing in these Terms transfers ownership of your site or its content to us.

10. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of [Delaware, United States], without regard to its conflict-of-laws principles.
